ShoreBreaK Investment Partners Launches Independent Sponsor Platform Targeting Lower Middle Market Acquisitions

Firm combines proprietary deal flow, transaction expertise and experienced operating partners to pursue acquisitions in essential industrial services.

ShoreBreaK Investment Partners (“ShoreBreaK”) today announced its launch as an independent sponsor (“IS”) firm focused on acquiring and growing lower middle market businesses. ShoreBreaK was founded by the leadership of General Capital Partners (“GCP”), the strategic advisory firm that, since 2002, has helped lower middle market (“LMM”) business owners, lenders and investors navigate complex financial and operational decisions.

ShoreBreaK carries that legacy forward, from trusted advisor to active investment partner. Its founders have multiple decades of combined experience guiding owners through transactions, recapitalizations and restructurings. That advisory experience provides deep insight into the acquisition market and frequently exposes the team to opportunities before they reach a broader sale process. ShoreBreaK now provides a dedicated platform to pursue select acquisition opportunities alongside investors and capital providers.

The launch comes at a time when many LMM business owners are seeking flexible or creative succession, growth and liquidity solutions; while capital providers increasingly value experienced operating and transaction partners who can source, evaluate and lead acquisitions on a deal-by-deal basis.

Initial Focus on Essential Industrial Services Businesses

ShoreBreaK is concentrating on essential industrial services businesses that keep critical infrastructure, supply chains and energy production running, often with long-standing customer relationships, durable demand themes and owners considering a succession. The team is currently active on opportunities in three sectors:

Ship Repair & Marine Services

Companies and operators serving commercial, government and port customers amid aging fleets and constrained repair capacity.

Industrial Employment Services

Staffing and Employer of Record (“EOR”) providers that supply and manage skilled industrial workforces at a time when skilled labor availability is a defining operational challenge facing many LMM businesses.

Oil & Gas Services

Field and maintenance companies performing recurring, mission-critical work across upstream, midstream and downstream markets.

“General Capital Partners was built to be the trusted advisor business owners, lenders and investors could rely on when the stakes were highest. After completing more than 160 transactions over the past 25 years, we see ShoreBreaK as the natural progression, giving us a platform to selectively source and lead strategic investments arising from established relationships and deal expertise.”Greg Barrow, Co-founder, ShoreBreaK Investment Partners; Founder and Managing Director, General Capital Partners

The Independent Sponsor Model

Unlike a traditional private equity fund, the IS model does not rely on a committed pool of investment capital. Instead, each acquisition is evaluated and capitalized independently, allowing ShoreBreaK to assemble the investors, operators and capital partners best suited for each transaction. The IS model has grown rapidly, and there are now an estimated 1,400 active independent sponsors, roughly double the number in 2019, according to law firm McGuireWoods.

“Essential services companies are the backbone of the economy. ShoreBreaK brings capital, execution experience and relationships to help these businesses grow and create shared success for owners, management teams and investors. For capital providers, ShoreBreaK offers access to a pipeline of vetted, often off-market opportunities backed by a team that has sat on both sides of the table.”Sandy Harrison, Co-founder, ShoreBreaK Investment Partners; Managing Director, General Capital Partners

With professionals located in Los Angeles, Fort Lauderdale and Raleigh, ShoreBreaK serves LMM business owners and capital partners throughout the United States. ShoreBreaK welcomes conversations with business owners considering succession or growth opportunities, experienced operators interested in ownership opportunities, and capital partners seeking compelling acquisitions.
